Welcome to Artifox. These Terms and Conditions ("Terms") govern your access to and use of the Artifox website at artifox.app (the "Site") and all related services (collectively, the "Services"). By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue your use of the Services.

1. Acceptance of Terms

By creating an account or using any part of our Services, you enter into a legally binding agreement with Artifox. These Terms constitute the entire agreement between you and Artifox regarding your use of the Services. We may update these Terms from time to time, and your continued use of the Services after such updates constitutes acceptance of the modified Terms.

2. Account Registration and Security

Account Creation

To access certain features of Artifox, you may be required to create an account. When creating your account, you agree to:

  • Provide accurate, current, and complete information as prompted by our registration forms
  • Maintain and promptly update your account information to keep it accurate and current
  • Be at least 13 years of age (or the applicable age of digital consent in your jurisdiction)
  • Have the legal capacity to enter into a binding contract

Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials (password, authentication tokens)
  • All activities that occur under your account
  • Notifying us immediately at [email protected] of any unauthorized use of your account or any other breach of security

Artifox will not be liable for any loss or damage arising from your failure to maintain account security. You may not share your account credentials with others or allow others to access your account.

Account Termination

You may terminate your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, abuse our Services, or for any other reason at our sole discretion.

3. Use of Services

Permitted Use

You may use our Services for lawful purposes only and in accordance with these Terms. You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Services in any manner that could damage, disable, overburden, or impair our systems
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems
  • Use automated systems (bots, scripts, scrapers) to access the Services without our prior written permission
  • Interfere with or disrupt the integrity or performance of the Services
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Harass, abuse, threaten, or intimidate other users
  • Upload or transmit viruses, malware, or any other malicious code
  • Engage in any activity that violates the rights of others or is illegal, fraudulent, or harmful

AI Services

Our Services include AI-powered features for text generation, image and video creation, and audio processing. When using these features:

  • You are responsible for your input and how you use the generated output
  • You must not use AI services to generate illegal, harmful, defamatory, or infringing content
  • You must not use AI services to impersonate others or create misleading content
  • We reserve the right to monitor usage and refuse service for inappropriate use
  • AI-generated content may not always be accurate, and you use it at your own risk

4. User Content and Intellectual Property

Your Content

When you submit, upload, post, or generate any text, images, audio, or other material through our Services ("User Content"), you represent and warrant that:

  • You own all rights to your User Content or have obtained all necessary permissions
  • Your User Content does not violate any laws or infringe upon any third-party rights
  • Your User Content does not contain any viruses, malware, or harmful code

License Grant

You retain ownership of your User Content. However, by submitting User Content to or generating it through our Services, you grant Artifox a worldwide, non-exclusive, royalty-free, transferable license to:

  • Use, copy, modify, distribute, and display your User Content as necessary to provide the Services
  • Use anonymized or aggregated data derived from your User Content to improve our Services
  • Display your User Content within the Services (where applicable)

This license continues for a commercially reasonable period after you delete your User Content or close your account to allow for backup, caching, and other technical operations.

AI-Generated Content

Content generated using our AI services is subject to the following:

  • You own the output generated from your prompts, subject to these Terms
  • We may use AI-generated content in anonymized or aggregated form to improve our AI models and services
  • AI-generated content may be similar to content generated for other users due to the nature of AI technology
  • You are responsible for ensuring your use of AI-generated content complies with applicable laws and does not infringe third-party rights

Artifox Intellectual Property

The Services and all content, features, and functionality (including but not limited to software, text, displays, images, video, audio, design, selection, and arrangement) are owned by Artifox, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

  • Copy, modify, distribute, sell, or lease any part of our Services
  • Reverse engineer, decompile, or attempt to extract the source code of our Services
  • Use our trademarks, logos, or branding without prior written permission
  • Remove or alter any copyright, trademark, or other proprietary notices

5. Subscription Plans and Billing

Subscription Tiers

Artifox offers various subscription plans with different features, usage limits, and pricing. By subscribing to any plan, you agree to pay the applicable fees and charges.

Billing and Payment

  • Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan)
  • You authorize us to charge your payment method for all fees and charges
  • All payments are processed through our payment provider, Stripe
  • You are responsible for providing accurate payment information and maintaining valid payment methods
  • We will notify you of price changes in advance via the Site or email, and any changes will apply on your next renewal or as otherwise required by applicable law

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings, and the cancellation will take effect at the end of your current billing period.

Credits and Usage

Some subscription plans include credits for pay-per-use features (e.g., AI image generation). Credits:

  • Are non-transferable and have no cash value
  • Expire at the end of each billing period (unless otherwise specified)
  • Cannot be refunded if unused
  • May be subject to fair use policies to prevent abuse

6. Refund Policy

Refunds

Subscription fees and credits are generally non-refundable, except where required by applicable law.

You may contact us at [email protected] if you believe you are entitled to a refund or credit. We will review requests on a case-by-case basis and may, at our sole discretion, issue a refund or credit (for example, where there has been a technical issue or you have not been able to use the Services as expected). Any refunds that are granted will typically be processed to your original payment method where reasonably possible.

Refund Exclusions

Refunds are not available for:

  • Pay-per-use credits or services already consumed
  • Subscriptions that have violated these Terms
  • Promotional or discounted subscriptions, unless required by law

Nothing in this section limits any rights you may have under mandatory consumer protection or refund laws in your jurisdiction.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Services and Links

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by Artifox. We are not responsible for the content, privacy policies, or practices of any third-party services. You acknowledge and agree that Artifox shall not be liable for any damage or loss caused by your use of any third-party services.

9. Disclaimers and Limitations of Liability

Service Availability

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Services will be uninterrupted, timely, secure, or error-free
  • Warranties regarding the accuracy, reliability, or quality of any content or information obtained through the Services

We do not guarantee that:

  • The Services will meet your requirements
  • AI-generated content will be accurate, complete, or suitable for your purposes
  • Any errors or defects will be corrected
  • The Services will be available at all times or free from interruptions

Limitation of Liability

To the maximum extent permitted by law, Artifox and its officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or use
  • Any damages resulting from unauthorized access to or alteration of your content
  • Any damages resulting from your use of or inability to use the Services

Our total liability for all claims arising from or related to these Terms or the Services shall not exceed the amount you paid to Artifox in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Artifox and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content or AI-generated content

10. Modifications to Services and Terms

Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Terms Updates

We may modify these Terms from time to time. If we make material changes, we will:

  • Update the "Effective Date" at the top of these Terms
  • Where appropriate, provide additional notice (for example, a notice in the Services or an email)

Your continued use of the Services after the effective date of modified Terms constitutes acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Services.

11. Governing Law and Dispute Resolution

To the extent permitted by applicable law, these Terms and your use of the Services will be governed by the laws that apply in your place of residence, without regard to conflict of law principles that would result in the application of the laws of another jurisdiction.

Nothing in these Terms limits any rights you may have under mandatory consumer protection laws.

12. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Artifox regarding the Services and supersede any prior agreements.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Survival

Provisions that by their nature should survive termination (including but not limited to ownership provisions, warranty disclaimers, and limitations of liability) shall survive the termination of these Terms.
